Affiliate Program Terms

Effective Date: February 21, 2025

These Affiliate Program Terms and Conditions (“Agreement”) govern your participation in the She Shines Global Experts Affiliate Program (“Program”). This Agreement is entered into by and between you (“Affiliate,” “you,” or “your”) and She Shines Global Inc. (“She Shines Global,” “Company,” “we,” “us,” or “our”).

By joining the Program, you agree to abide by these Terms and Conditions and all related policies referenced herein, including any amendments that may be made from time to time. This Agreement outlines the expectations, responsibilities, earning structure, payout policies, and ongoing compliance requirements for all affiliates participating in our referral and revenue-sharing model.

The Program is built on mutual trust, integrity, and the desire to empower women worldwide. By becoming an Affiliate, you’re not only supporting a platform created for midlife women — you’re also stepping into a revenue-generating opportunity designed to help you grow your impact and income.

Please read these Terms carefully. Continued participation in the Program confirms your ongoing agreement to comply with all conditions outlined herein.

In these Terms & Conditions, the following terms shall have the following meanings:

"Business Day" – Any day other than a Saturday, Sunday, or recognized public holiday in Canada.

"Cancellation Policy" – The SheShines Global policy on cancellations and refunds, accessible at sheshinesglobal.com/terms.

"Commencement Date" – The date on which you, the "Affiliate", accepted these Terms & Conditions and enrolled in the SheShines Global Partners Affiliate Program.

"Commission Rate" – The percentage of recurring commission earned by the Affiliate on qualifying net subscription revenue, as outlined in Clause 11.2.

"Confidential Information" – Any business, personal, technical, financial, or proprietary information shared between the parties, whether written, oral, or digital, that is not generally available to the public. This includes but is not limited to user data, payout records, platform insights, internal communications, and strategy materials.

"Current Term" – The active duration during which the Affiliate is participating in the Program in accordance with this Agreement.

"Direct Referral" – A paying SheShines Global member who joins the platform through the Affiliate’s unique referral link or code, where tracking confirms attribution to the Affiliate without any intermediate referrer.

"Intellectual Property Rights" – All intellectual property rights including but not limited to copyrights, trademarks, service marks, trade names, designs, patents, and proprietary data or know-how, in any jurisdiction, whether registered or not.

"Registered Email Address" – The primary contact email provided by the Affiliate at registration and used for all formal communications related to this Program.

"Registration Data" – The full legal name, email address, country of residence, payout method (e.g., PayPal or direct deposit), and tax documentation provided by the Affiliate upon enrolment, in accordance with applicable compliance requirements.

"Service Package" – A SheShines Global subscription membership tier that includes access to expert-led masterclasses, the private community, AMA content vaults, and any additional platform offerings as described in Clause 7.

"Term" – The full period from the Commencement Date until termination of this Agreement as defined in Clause 17, during which the Affiliate is bound by these Terms & Conditions.

2.1 By enrolling in the SheShines Global Affiliate Program (“the Program”), you agree to provide accurate, complete, and current Registration Data at the time of registration. You are responsible for keeping your information up to date and must notify us of any changes to your Registration Data.

2.2 Upon accepting these Terms & Conditions, this Agreement becomes effective, subject to our approval as outlined in 2.4. No physical copy of this Agreement will be issued or signed.

2.3 After registering, we may — at our sole discretion — review your public platforms (such as your website or social media profiles) to ensure brand alignment. You will be notified within 10 Business Days if we choose not to approve your application. If accepted, you will receive onboarding instructions, marketing assets, and next steps to begin promoting SheShines Global.

2.4 We reserve the right to reject any application without the obligation to provide a reason. However, applications may be declined for reasons including, but not limited to, promotion or association with content that:

→Is unlawful, harmful, threatening, defamatory, discriminatory, obscene, or otherwise objectionable;

→Facilitates or promotes violence, terrorism, or criminal activity of any kind;

→Contains or promotes sexually explicit material;

→Infringes or encourages infringement of intellectual property rights belonging to any third party.

3.1 Nothing in these Terms & Conditions shall constitute, or be deemed to create, a partnership, joint venture, or employment relationship between the Parties. Except as expressly stated herein, neither Party shall be deemed an agent of the other for any purpose.

3.2 Unless explicitly authorized in writing by She Shines Global, you shall not:

→Act on our behalf or present yourself as having authority to do so;

→Enter into any contract or agreement in our name;

→Make any representation or warranty on our behalf;

→Incur any liability or assume any obligation, whether express or implied, for or on behalf of She Shines Global.

4.1 Within your Affiliate Dashboard, you will find the necessary materials to create a hyperlink to our website. These materials include:

→The exact HTML code for your unique referral link; and

→A selection of approved graphics files that may be used in connection with your referral promotion.

4.2 The HTML code provided in your Affiliate Dashboard must be used exactly as supplied. You may not modify, alter, or tamper with the code in any way. Any alterations may result in improper tracking and may lead to forfeiture of commission for resulting referrals.

4.3 Under no circumstances may any graphics provided by She Shines Global be modified, resized, or edited without prior written authorization from us. You may not use custom graphics in place of those we provide unless explicitly approved by our team.

4.4 You may display any of the provided graphics throughout your website as you see fit, provided that you have received our prior written consent (which will not be unreasonably withheld). We reserve the right to request changes or removal of any link or graphic at our sole discretion.

4.5 As an Affiliate, you are solely responsible for maintaining all links between your website and the She Shines Global platform. We are not liable for any loss of referrals or commission due to broken, improperly implemented, or outdated links.

5.1 Each Party shall be solely responsible for maintaining and updating any online platforms, profiles, or marketing channels they use to promote SheShines Global. For clarity, Affiliates are not required to operate a website in order to participate in this Program.

5.2 When promoting SheShines Global — whether on social media, in email newsletters, websites, blogs, podcasts, or any other digital or print media — Affiliates agree not to share or publish any content that:

5.2.1 is unlawful, harmful, threatening, obscene, harassing, discriminatory, defamatory, or otherwise objectionable;

5.2.2 promotes or facilitates violence, terrorism, or any form of criminal activity;

5.2.3 is sexually explicit or inappropriate given the audience; or

5.2.4 infringes or encourages the infringement of any intellectual property rights belonging to any party.

5.3 SheShines Global does not pre-screen promotional content created by Affiliates. However, if we are made aware of content that violates Sub-clause 5.2, you agree to take down, revise, or remove the offending content within 5 Business Days of written notice from us. Failure to do so may result in removal from the Program and forfeiture of future commissions.

6.1 As a SheShines Global Affiliate, you are welcome to display our membership pricing and service information in your marketing content, emails, social platforms, or other promotional channels. It is your responsibility to ensure the accuracy of any such information you choose to include.

6.2 SheShines Global reserves the right to alter service pricing or package structure at any time in accordance with our internal business strategy. These updates will be communicated to Affiliates through official channels when appropriate.

6.3 Affiliate Responsibilities

As a SheShines Global Affiliate, you agree that:

6.3.1 You are responsible for keeping your account, tax, and payment information accurate and up to date. This includes your name, contact info, and any tax documentation (e.g., SIN, W-8BEN, etc.) as required based on your location.

6.3.2 You may not create more than one Affiliate account without prior written approval.

6.3.3 You agree to refer individuals in good standing and will not exploit or misuse the referral system.

6.3.4 You may not refer yourself or create affiliate referrals for companies or accounts in which you have a financial interest.

6.3.5 You may not use tactics or recommendations that could result in financial harm or reputational risk to SheShines Global.

6.3.6 You may not engage in unethical or misleading marketing practices, including tactics that attract low-quality or fraudulent traffic.

6.3.7 You may not use third-party content, assets, or materials without the appropriate license or rights.

6.3.8 You may not modify, alter, or misuse any branded assets, logos, banners, or graphics provided by SheShines Global without written consent.

6.3.9 You may not engage in spam, black-hat SEO, link cloaking, or any deceptive marketing techniques.

6.3.10 You agree not to promote SheShines Global on websites or platforms that contain obscene, illegal, hateful, or inappropriate material.

6.3.11 You agree to comply with all applicable local and international laws when promoting SheShines Global.

6.3.12 If SheShines reasonably determines that your affiliate activity violates this Agreement, we reserve the right to suspend or terminate your affiliate account and cancel all unpaid commissions.

6.4 Advertising Guidelines

While we encourage you to promote SheShines in a way that’s aligned with your unique voice and brand, the following promotional activities are strictly prohibited:

6.4.1 Sending unsolicited emails (spam) or posting links in unauthorized public forums or groups.

6.4.2 Running paid advertising campaigns that bid on SheShines Global trademarks or variations/misspellings of our brand name.

6.4.3 Creating false urgency or using misleading content to drive signups.

6.4.4 Offering cash rewards, giveaways, discounts, or coupon codes that were not explicitly approved by SheShines Global.

6.4.5 Promoting SheShines using low-quality or incentivized traffic methods (e.g., pay-to-click, click farms, banner exchanges, etc.).

6.4.6 Direct-linking to our platform in paid ads or using SheShines URLs as display links without permission.

6.4.7 Using hidden links, cookie stuffing, or cloaking to mask your true referral source.

6.4.8 Creating domains, products, or services that impersonate or appear confusingly similar to SheShines Global or any other brand without authorization.

6.4.9 Advertising SheShines on adult sites, gambling pages, or platforms with hate speech or extremist content.

6.5 Brand Representation

We’re here to make your affiliate experience simple and smooth — and we trust you to represent SheShines in a way that reflects our mission, values, and the women we serve.

SheShines Global reserves the right to determine, at its sole discretion, whether a promotional method is appropriate. Violation of these guidelines may result in warnings, account suspension, or the forfeiture of commission payouts.

SheShines Global provides digital services through a subscription-based membership model. These services include:

→Live expert-led masterclasses hosted via Zoom

→On-demand access to all recorded sessions

→A private, members-only community for connection and support

→Rotating Ask-Me-Anything (AMA) expert response series

→Exclusive expert contributions and engagement-based features

As an Affiliate, you will be able to view the Service Packages eligible for commission directly through your affiliate dashboard, including applicable pricing and membership options.

We reserve the right to modify, update, or enhance the structure, content, or pricing of our Service Packages at any time, to improve user experience and reflect platform growth.

8.1 As an Affiliate, you may refer potential customers to SheShines Global using your unique referral link or code. Referrals may be made through personal websites, social media, email newsletters, direct messaging, or any other permitted and ethical marketing channels.

8.2 All referrals must originate from legitimate, transparent, and non-deceptive promotional practices. We do not allow the use of misleading tactics, false claims, or unethical means of generating referrals.

8.3 A referred customer must:

→Complete the full sign-up process using your unique link or code, and

→Become an active, paying subscriber who successfully passes the 10-day grace period following their initial payment.

Only once both of these criteria are met will the referral be considered valid and eligible for commission.

8.4 If a referral is not properly tracked due to user error, browser settings, or the use of alternate links, commissions will not be issued unless otherwise determined at our sole discretion.

8.5 We reserve the right to review and update our referral eligibility requirements at any time. You will receive a minimum of 10 Business Days’ written notice before any changes take effect.

9.1 We undertake to use our best and reasonable endeavours to process and fulfil all orders for Service Packages placed by referred customers generated by Affiliates.

9.2 We reserve the right to reject any orders that do not comply with the customer referral requirements detailed in Clause 8 of these Terms & Conditions. To qualify for commission, the customer must become a paying subscriber and successfully pass our 10-day grace period.

9.3 While She Shines Global remains solely responsible for service delivery, order entry, payment processing, cancellations, and all customer support, we recognize that you, the Affiliate, may continue engaging with referred customers through your masterclasses or community presence. However, under no circumstances may you claim ownership of referred customers, divert them away from the She Shines Global platform, or promote competing services that directly conflict with She Shines Global offerings. All referred customers will be clearly informed that their relationship is with She Shines Global, and any breach of this policy may result in immediate termination from the Program and forfeiture of outstanding commissions.

10.1 We will track all affiliate referrals using your unique affiliate link or code. The following key elements will be recorded for each referral:

→“Origin” – identifying the source of the referral (e.g., affiliate link or code used);

→“Membership Plan Selected” – the type of SheShines subscription plan the customer joined under;

→“Revenue Generated” – the total net revenue associated with that customer, which will be used to calculate your commission.

10.2 You will have access to a personalized Affiliate Dashboard that provides real-time reporting. This dashboard will allow you to:

→Monitor link clicks, sign-ups, and conversions

→View referral status, payout eligibility, and earned commissions

→Track your current and past earnings, bonus eligibility, and payment schedule

10.3 All commissions become eligible for payout only after a 10-day grace period following a successful payment from a referred customer. This ensures the referral is valid and not subject to reversal or chargeback.

10.4 We reserve the right to modify the layout, format, or content of the Affiliate Dashboard and sales reports at our discretion, with or without prior notice.

11.1 You will earn commission on each paying customer you directly refer to She Shines Global via your unique affiliate link or referral code, as tracked in our affiliate system. You will only receive commission once the referred customer has successfully completed our 10-day grace period without cancellation and remains an active, paying subscriber. Commission will not be awarded for self-referrals.

11.2 Standard Commission Rate:

You will earn a 50% recurring commission on the monthly membership fee of each customer you refer, for as long as that customer remains an active subscriber in good standing.

11.3 Milestone Bonuses:

→70% Commission – If you refer 50 or more paying members during your first full milestone period (which runs from the 20th of one month to the 20th of the next), you will unlock a 70% commission rate on all of those referred members — for that milestone period only.

→60% Commission – If in any month thereafter you refer 25+ new paying members, you will unlock a 60% commission rate on your entire active subscriber base (new and existing) for that month.

11.4 After any month in which you do not qualify for a milestone bonus, your commission rate will automatically revert to the standard 50% rate.

11.5 Passive Referral Tier:

In order to remain eligible for full commission rates, you must actively teach at least two (2) live masterclasses per month for a minimum of three (3) consecutive months.

→If you stop teaching after completing three (3) full consecutive months, your commission on all previously referred subscribers will be reduced from 50% to 10% recurring while you remain inactive.

→You may reinstate your previous commission rate (50%, or any applicable milestone bonus rate) only if you resume teaching, subject to approval by She Shines Global.

If you stop teaching before completing the initial three-month period, you will be considered to have not fulfilled the baseline expert participation requirement. In this case:

→Your affiliate account may be deactivated, and

→You will forfeit all future commissions on your referred subscribers, who will be fully transferred to She Shines Global’s ownership.

→No further earnings will be paid out from your affiliate activity unless you are reinstated by written approval.

11.6 All commissions will be paid by direct deposit to the bank account you provide during onboarding. We do not support PayPal or any alternative methods. You are responsible for ensuring that your banking and tax information is accurate and up to date.

11.7 Commission Payment Schedule:

→Commissions are issued on the 1st of each month via direct deposit and may take up to 5 business days to fully process and reach your account.

→You will be paid for any commissions that have cleared our 10-day grace period as of the 1st of the payout month.

→The minimum payout threshold is $50 USD. If your earnings are below this threshold, they will roll over to the next month.

11.8 Bonus Tracking Period:

→Bonus milestones are tracked from the 20th to the 20th of each month (e.g., May 20th–June 20th).

→Bonuses are paid out with your next eligible payout once commissions clear the grace period.

11.9 All referral tracking is handled through your Affiliate Dashboard. You will have access to real-time reporting, including clicks, conversions, commissions, and payout status. We reserve the right to update or modify dashboard features as needed.

11.10 Refunds and Cancellations:

→Due to the non-refundable nature of our digital services, refunds are extremely rare. However, in the unlikely event that a customer is refunded (e.g., due to fraud or special exemption approved by She Shines Global), any commission you earned from that referral will be deducted from your next payout or may be subject to recovery.

→You will only receive commissions for active, paying subscribers who remain in good standing with She Shines Global and are not refunded.

11.11 You are solely responsible for reporting and paying all applicable taxes on any commission income you earn. She Shines Global accepts no responsibility for your tax filings or obligations. For Canadian affiliates, a T4A will be issued if earnings exceed $500 CAD in a tax year and you are not incorporated.
U.S. affiliates must submit a completed W-9 form via DocuSign before receiving payouts.

International affiliates must submit a completed W-8BEN form via DocuSign to confirm non-Canadian/U.S. tax residency.

11.12 We reserve the right to adjust commission rates, milestone bonuses, or payment structures at any time. You will be provided with 10 Business Days’ written notice before any such changes take effect. If you do not agree to the revised terms, you may opt out of the Program within that 10-day notice period and receive any outstanding commission you are owed.

12.1 Upon entry into the Program, She Shines Global grants you a non-exclusive, non-transferable, royalty-free license to use our logos, brand assets, and trademarks (collectively referred to as “Trade Marks”) solely for the purpose of promoting She Shines Global under this Affiliate Program.

12.2 You may only use our Trade Marks to the extent required to fulfill your responsibilities as an Affiliate and to accurately establish links, promote your referral code, or market your role as a She Shines Global Expert.

12.3 You may not use our Trade Marks for any other purpose outside the scope of the Program — including product creation, paid advertisements, merchandise, or media appearances — without prior written approval from She Shines Global. Approval will not be unreasonably withheld.

12.4 By participating in the Program and accepting these Terms, you agree that:
12.4.1 All Trade Marks remain the exclusive property of She Shines Global unless and until otherwise assigned;
12.4.2 These Terms do not grant you any ownership rights or legal claim over our Trade Marks;
12.4.3 You agree not to challenge, dispute, or take any action that may impair the validity, reputation, or ownership of the She Shines Global Trade Marks.

13.1 Unless otherwise expressly stated in writing, She Shines Global is the sole and exclusive owner of all intellectual property rights ("IPRs") related to our platform and digital ecosystem. This includes, but is not limited to, all website content, source code, written text, audio, video, graphics, visual design elements, photographs, and other media that appear on the She Shines Global platform.

13.2 She Shines Global also retains exclusive ownership of all intellectual property contained in supporting materials and documentation, including but not limited to platform design files, presentation decks, brand collateral, product plans, strategic content, and preparatory materials.

13.3 All intellectual property rights in future updates, enhancements, or expansions to the She Shines Global platform — including digital vaults, app features, affiliate dashboards, and branding assets — will remain the sole property of She Shines Global.

14.1 By participating in the She Shines Global Affiliate Program, you represent, warrant, and agree that:

14.1.1 Any content you publish in connection with your promotion of She Shines Global does not and will not contain material that:

a) is unlawful, harmful, threatening, obscene, harassing, discriminatory, defamatory, or otherwise objectionable;

b) promotes or facilitates violence, terrorism, or any form of criminal activity;

c) is sexually explicit or adult in nature;

d) infringes, or encourages the infringement of, any third-party intellectual property rights.

14.1.2 If you maintain a personal website or promotional page, it must be functional, clearly presented, and reasonably accessible to users, with exceptions only for short periods of routine maintenance or unforeseen platform outages.

14.1.3 You have obtained and will maintain any and all licenses, consents, and approvals necessary to fulfill your obligations under this agreement.

14.1.4 These Terms & Conditions constitute valid, legal, and binding obligations enforceable against you under applicable law.

14.1.5 You will not refer to She Shines Global, directly or indirectly, in any unsolicited bulk email campaigns (spam), cold DMs, or similar outreach practices without prior approval from our team.

15.1 She Shines Global makes no representations or warranties that the website, the Affiliate Program, or any Service Packages offered through the Program:

will meet your personal requirements or the expectations of your audience,

will be of satisfactory quality or suitable for any particular purpose,

→will not infringe upon the rights of third parties,

→will be free from interruption, errors, or omissions,

→will be compatible with all devices, operating systems, or browsers,

→will be secure or free from viruses or harmful code, or

→will always display fully accurate, complete, or current information.

15.2 No guarantees are made regarding specific outcomes, revenue levels, or conversion results from your participation in the Program or use of any She Shines Global tools or materials.

15.3 While we use reasonable efforts to maintain the accessibility and performance of our website, we make no guarantee that the website or Program platform will remain uninterrupted or continuously available at all times. Temporary downtime may occur due to maintenance, updates, or technical issues beyond our control.

16.1 We shall not be liable to you for any indirect or consequential loss that you may suffer even if such loss is reasonably foreseeable or if we have been advised of the possibility of such loss being incurred.

16.2 Our entire liability to you in respect of any breach of our contractual obligations, any breach of warranty, any representation, statement or tortious act or omission including negligence arising under or in connection with these Terms & Conditions or the Agreement shall be limited to $1.

16.3 Notwithstanding any other provision in these Terms & Conditions, our liability to you for death or injury resulting from our own negligence or that of our employees, agents or sub-contractors shall not be limited.

17.1 These Terms & Conditions and the Agreement shall come into effect on the Commencement Date and shall remain in force for an initial period of twelve (12) months (the “Initial Term”). After the Initial Term, your participation in the Program will automatically renew for successive twelve (12) month periods (each a “Renewal Term”) unless terminated by either Party in accordance with this Clause 17.

17.2 Either Party may terminate the Agreement by giving ten (10) Business Days’ prior written notice to the other Party in the following circumstances:

17.2.1 The other Party commits a material breach of these Terms & Conditions or the Agreement and fails to remedy such breach within ten (10) Business Days of receiving written notice of the same; or

17.2.2 The other Party becomes insolvent or enters into liquidation (except for the purposes of a bona fide company reconstruction approved in writing by the other Party), enters into any arrangement or composition with its creditors, has a receiver or administrator appointed over all or a substantial part of its business or assets, ceases or threatens to cease trading, or undergoes any analogous process under applicable law; or

17.2.3 She Shines Global may also terminate this Agreement at any time, with or without prior notice, if:

→You fail to appear for a scheduled live masterclass without providing prior notice;

→Your sessions consistently underperform in terms of preparation, attendance, or engagement;

→You become inactive for a sustained period without any communication (e.g., not teaching, engaging in the community, or replying to She Shines correspondence);

→You violate any affiliate policies or fail to submit required tax or payment forms;

→You promote competing platforms or redirect SheShines members to services that directly conflict with our offerings, without prior approval.

17.3 Either Party may terminate this Agreement at any time by providing at least 10 Business Days’ written notice. There is no minimum time commitment, and Experts may choose to stop teaching or participating at their discretion. However, SheShines Global reserves the right to remove inactive or non-compliant Experts in alignment with Clauses 17.6 and 24.

17.4 Upon termination of the Agreement for any reason, you shall immediately remove all She Shines Global links, graphics, branding, and promotional materials from all of your digital platforms.

17.5 All licenses, permissions, and access granted to you under this Agreement shall automatically terminate upon termination of the Agreement.

17.6 In the event that we terminate this Agreement in accordance with Clause 17.2, any unpaid commissions or bonuses owed to you shall be forfeited, including commissions that have not yet cleared the 10-day grace period at the time of termination.

17.7 Termination under any of the above clauses does not relieve either Party of any obligations incurred prior to the date of termination.

18.1 Each Party (a “Receiving Party”) agrees to keep confidential all information disclosed by the other Party (the “Supplying Party”) that is designated as confidential or which should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure (“Confidential Information”). The Receiving Party shall not use, disclose, or make available such Confidential Information, directly or indirectly, to any third party except to its officers, employees, agents, or professional advisers who require access to such information for the purpose of fulfilling the Receiving Party’s obligations under these Terms & Conditions and are bound by confidentiality obligations no less restrictive than those set forth herein.

18.1.1 The obligations in this Clause shall not apply to any information that:

→was already lawfully in the Receiving Party’s possession before disclosure by the Supplying Party;

→is or becomes publicly available through no breach of these Terms & Conditions;

→is disclosed to the Receiving Party by a third party who is not in breach of any obligation of confidentiality; or

→is independently developed by the Receiving Party without use of or reference to the Supplying Party’s Confidential Information.

18.2 Each Party further agrees and undertakes:

18.2.1 That all Confidential Information remains the sole and exclusive property of the Supplying Party at all times;

18.2.2 That any right to use or disclose the Confidential Information shall automatically cease upon termination of the Agreement for any reason;

18.2.3 To return or securely destroy all documents, materials, and digital files containing or reflecting Confidential Information (including all copies, extracts, or reproductions) promptly upon termination of the Agreement, or earlier if requested by the Supplying Party.

18.3 The obligations under this Clause 18 shall survive the termination or expiration of this Agreement for a period of five (5) years, or longer where legally required, and shall remain binding even if the relationship between the Parties ends.

Neither Party shall be liable to the other for any delay or failure to perform its obligations under these Terms & Conditions if such delay or failure arises from a cause beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil commotion or unrest, governmental action, labor disputes, strikes, lockouts, power outages, internet or telecommunications failures, pandemics, natural disasters (including but not limited to fire, flood, earthquake, or storm), or failure of suppliers, subcontractors, or delivery partners to perform.

Such delays or failures shall not constitute a breach of this Agreement. The affected Party shall notify the other Party as soon as reasonably practicable of the occurrence of such an event and shall use all reasonable efforts to mitigate its effects and resume performance of its obligations as soon as possible.

If the period of delay or non-performance continues for more than thirty (30) consecutive days, either Party may terminate this Agreement by giving written notice to the other Party.

22.1 These Terms & Conditions embody and set forth the entire agreement and understanding between the Parties and supersede all prior oral or written agreements, understandings, or arrangements relating to the Program or the relationship between the Parties. Neither Party shall be entitled to rely on any agreement, understanding, or arrangement not expressly set forth in these Terms & Conditions, save for any representation made fraudulently.

22.2 Unless otherwise expressly provided elsewhere in these Terms & Conditions, the Agreement may be varied only by a document signed by both of the Parties.

23.1 No Waiver

No failure or delay by either Party to enforce the performance of any provision in these Terms & Conditions shall constitute a waiver of the right to enforce that provision at a later time or to enforce any other provision. Any waiver shall be in writing and shall not be deemed a continuing waiver unless expressly stated.

23.2 Non-Exclusivity

The relationship between the Parties is non-exclusive. Nothing in these Terms & Conditions shall prevent either Party from entering into similar agreements or partnerships with other parties.

23.3 Non-Assignment

You may not assign, transfer, or delegate any or all of your rights or obligations under these Terms & Conditions or the Agreement without our prior written consent, which shall not be unreasonably withheld.

24.1 If an Affiliate has not referred any new members and has not participated in any required teaching, community engagement, or AMA activities for a period of six (6) consecutive months, She Shines Global reserves the right to formally deactivate the Affiliate’s account and remove them from all internal communications and platform access.

24.2 However, if the Affiliate had previously qualified for the Passive Referral Tier (i.e., taught a minimum of two (2) live masterclasses per month for three (3) consecutive months prior to inactivity), they shall continue to receive 10% recurring commission on all active paying subscribers they originally referred, for as long as those referrals remain subscribed.

24.3 In the event that the Affiliate did not meet the minimum requirements for the Passive Referral Tier prior to becoming inactive (i.e., did not teach for at least three (3) consecutive months), She Shines Global reserves the right to terminate the account completely and forfeit any future commissions associated with that Affiliate.

24.4 Any unpaid commissions below the $50 USD minimum payout threshold may be forfeited at our discretion upon account termination, unless otherwise required by law.
